Welcome to TheERPBot. These Terms and Conditions govern your access to and use of our website, software products, applications, services, and related offerings.
By accessing our website or purchasing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree with these terms, please do not use our website or services.
1. About TheERPBot
TheERPBot provides business software and technology services, including but not limited to:Our services may be provided to customers located in India and other countries.
- Odoo ERP implementation and configuration
- Odoo customization and development
- Odoo migration and upgrades
- Odoo integrations and API development
- Website and eCommerce development
- Software development and customization
- Data migration and related technical services
- Odoo support and maintenance
- Software products, applications and modules
- Accounting and bookkeeping technology services
- Consulting, training and technical assistance
2. Services
The scope of services, deliverables, timelines, fees and other project-specific requirements will be defined in the applicable quotation, proposal, statement of work, order, subscription plan or other written agreement between TheERPBot and the customer.
Any work outside the agreed scope may be treated as additional work and may be subject to additional charges.
3. Orders and Acceptance
A service order or subscription may be placed through our website, email, proposal, quotation, payment link, or other approved communication channel.
An order becomes effective when:
- The customer accepts the applicable quotation/proposal/order; and/or
- The required payment has been successfully received; and/or
- TheERPBot confirms the engagement in writing.
TheERPBot reserves the right to refuse or cancel an order where necessary due to technical, legal, compliance, availability, or other legitimate business reasons.
4. Pricing and Payment
Prices for our services and software products will be communicated through our website, quotation, proposal, subscription page, invoice, or other applicable commercial communication.
Unless otherwise specified:
- Prices are exclusive of applicable taxes.
- Customers are responsible for applicable taxes, duties, bank charges, or other charges imposed by their jurisdiction.
- Payments must be made using the payment methods made available by TheERPBot.
- For project-based services, payment milestones may be specified in the applicable proposal or agreement.
- Subscription services may be billed on a monthly, annual, or other agreed basis.
For international customers, payments may be processed in supported currencies through our authorized payment partners.
5. Subscription Services
Where a customer purchases a subscription-based service or software product, access will remain available for the applicable subscription period, subject to successful payment and compliance with these Terms.
Subscriptions may automatically renew where this is clearly communicated during purchase.
The customer may cancel a subscription in accordance with our Refund and Cancellation Policy.
6. Project Delivery
For implementation, customization, development, migration, integration, consulting and other professional services, delivery timelines are estimates unless expressly agreed as binding in writing.
Project timelines may be affected by:
- Delays in receiving customer information or approvals
- Changes in requirements
- Third-party system dependencies
- Delays caused by third-party service providers
- Customer availability
- Technical or regulatory requirements
TheERPBot will make reasonable efforts to communicate material delays and work with the customer to establish a revised delivery plan.
7. Customer Responsibilities
Customers are responsible for providing accurate and complete information required to deliver the services.
Customers must provide timely access to relevant systems, credentials, data, documentation, approvals and other information where required.
The customer remains responsible for the accuracy, legality and ownership of data supplied to TheERPBot.
8. Intellectual Property
Unless otherwise agreed in writing:
- TheERPBot retains ownership of its pre-existing software, tools, frameworks, methodologies, libraries, modules, templates and intellectual property.
- Customer-specific deliverables and intellectual property rights will be governed by the applicable proposal, statement of work or agreement.
- Third-party software, including Odoo and other third-party applications or services, remains subject to the respective third party's licensing terms.
Customers must not copy, redistribute, resell or commercially exploit TheERPBot's proprietary software, applications, modules or materials without written authorization.
9. Third-Party Services
Our services may integrate with third-party platforms, applications, hosting providers, payment gateways, APIs or other services.
TheERPBot is not responsible for interruptions, changes, pricing, policies, availability or failures caused by third-party services outside our reasonable control.
10. Confidentiality
Both parties agree to take reasonable measures to protect confidential information exchanged in connection with the services.
Confidential information will not be disclosed to third parties except where required to provide the services, comply with applicable law, or where disclosure is otherwise authorized or required under the applicable agreement.
11. Data and Security
TheERPBot takes reasonable technical and organizational measures to protect customer information.
Customers are responsible for maintaining appropriate access controls and security practices for their own systems, accounts and credentials.
Where applicable, additional data-processing or confidentiality terms may be agreed separately.
12. Acceptable Use
Customers must not use our services to:
- Violate applicable laws or regulations
- Conduct fraudulent or unauthorized activities
- Distribute malicious software
- Attempt unauthorized access to systems
- Infringe intellectual property rights
- Interfere with the operation or security of our systems
- Use our services for unlawful or abusive purposes
13. Limitation of Liability
To the maximum extent permitted by applicable law, TheERPBot will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from the use of our services.
Our liability, where legally applicable, will be limited to the amount paid by the customer for the specific service giving rise to the claim, except where such limitation is prohibited by law.
14. Force Majeure
TheERPBot will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, internet or telecommunications failures, government actions, cyber incidents, third-party service outages, war, strikes, or other unforeseen events.
15. Changes to These Terms
We may update these Terms and Conditions from time to time. Updated terms will be published on this page with a revised "Last Updated" date.
